1. Contracting entity and acceptance
These terms are an agreement between you and WaitMoon Labs Inc, a corporation registered in Wyoming, United States under registration number 2025-001656188, with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, United States. XferAPI is a product and service operated by WaitMoon Labs Inc.
By accessing the XferAPI website, hosted API, or management console, you agree to these terms. If you enter a separate written agreement with WaitMoon Labs Inc, that agreement controls where it conflicts with these public terms.
2. Service description
XferAPI provides balance and ledger infrastructure that may include workspaces, ledgers, API keys, accounts, transfers, records, time-aware balances, reversals, and recovery of intermediate work. Features are limited to those currently documented or included in a separate agreement.
3. Account and integration responsibilities
- Use the service only for data and app-defined value you are authorized to manage.
- Protect console sessions and API keys, and revoke credentials that may be exposed.
- Keep API keys in trusted backend systems, not browsers or mobile applications.
- Assign one business operation to each transfer ID and scene pair.
- Test your own product rules, reconciliation process, backups, monitoring, and user-facing behavior.
4. Prohibited use
You may not attempt unauthorized access, cross workspace or ledger boundaries, interfere with the service, evade limits, introduce malicious code, misuse other customers' data, or use XferAPI for unlawful activity.
5. Customer data
You retain rights in data you submit. You authorize XferAPI and its service providers to process that data only as needed to operate, secure, support, and improve the service or comply with law. Do not put secrets or unnecessary personal information in optional meta fields.
6. Private deployments
A private deployment is available only through a separate commercial agreement defining the environment, responsibilities, upgrades, support, security boundaries, and other operating terms. It is not a public software download or an implied source-code license.
7. Intellectual property
XferAPI software, source code, binaries, documentation, product names, and branding are proprietary unless a separate written agreement expressly grants a limited right. No right to copy, redistribute, publish, reverse engineer, sublicense, or create derivative works is granted by these public terms except where applicable law cannot be excluded.
8. Availability and changes
The service may change, be limited, or be interrupted by maintenance or defects. No service level, support response time, retention period, or commercial commitment applies unless documented in a separate written agreement.
9. Subscriptions and billing
Paid plans are billed in advance through Stripe for the monthly or annual interval selected at checkout and renew automatically until changed or canceled. The price, currency, billing interval, and renewal date shown in the console or Stripe checkout control the purchase.
- Upgrades and a change from monthly to annual billing may take effect immediately. Stripe may credit unused time and charge the prorated difference.
- Downgrades, cancellation, and changes from annual to monthly billing normally take effect at the end of the current paid period shown in the console.
- A failed or incomplete payment does not activate the requested higher plan. Access after a renewal failure is subject to the service's displayed billing status and grace period.
- Fees are non-refundable except where required by law or expressly agreed in writing. Taxes, if applicable, are the customer's responsibility.
10. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PUBLIC WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XferAPI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM USE OF THE SERVICE. Any limits required by applicable law remain unaffected.
12. Suspension and termination
You may stop using the hosted API at any time. Access may be suspended or terminated for security risk, prohibited use, legal requirements, nonpayment under an applicable agreement, or material breach.
13. Governing law and venue
These terms and any dispute arising from them or the service are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Except where applicable law requires otherwise, the state courts located in Sheridan County, Wyoming, and the federal courts with jurisdiction in Wyoming have exclusive jurisdiction, and each party consents to that venue.
